Organizational law and governance are concerned with the legal and governance foundations that organizations — particularly non-profits, charities, and businesses — need in order to pursue their objectives, manage risk, hold assets, employ people, and enter into relationships. This service area includes support for the creation, structuring, governance, and operation of organizations, as well as advising them on and assisting them with their regulatory, contractual, and other obligations and relationships.
My work in this area focuses on organizations’ legal obligations and organizational governance in practice. This includes internal relationships within boards and among directors and officers, leadership and staff, and members or shareholders, as well as external relationships with regulators, funders, business partners, contractors, Crown governments, and the broader public. Organizations also operate within social and political conditions that affect legitimacy and trust, including public criticism and social movements. To this work, I bring seasoned literacy in environmental, social, and governance (ESG) issues and can advise on the intersection of ESG considerations with legal and governance considerations, including how those considerations are reflected in agreements, governance documents, and organizational practices. I help organizations meet their legal needs and pursue their objectives as they grow, adapt, and respond to changing circumstances and priorities.
I have a strong understanding of organizational law, governance, and operations from the inside through my many years of service in leadership roles on boards; experience managing society operations; building and running my own businesses; work with non-profit societies, charities, and businesses; and extensive governance consulting work.
This practice area includes organizational formation and structuring, governance support, agreements and organizational relationships, privacy and information governance, employment and human rights advice for organizations, and, as needed, civil dispute resolution and litigation.
